Betr Entertainment’s Bold Move to Acquire PointsBet
Last month, Betr Entertainment made headlines in the gambling industry by revealing its intention to acquire PointsBet, a major player in the Australian sports betting market. Betr Entertainment had recently acquired a significant 19.9% stake in PointsBet, positioning itself as one of the company’s largest shareholders.
In a recent filing with the Australian Stock Exchange (ASX), Betr proposed to acquire the remaining shares of PointsBet through a Scheme of Arrangement. The proposed deal valued PointsBet at a whopping $360 million, with $260 million to be paid in cash and $100 million in Betr scrip.
Betr confidently argued that their proposal would bring more value to PointsBet shareholders compared to a separate proposal put forth by MIXI Australia. They projected potential synergies of over $40 million annually, potentially resulting in a value outcome of $1.33 per share for PointsBet shareholders.
Upon reviewing the proposal, PointsBet acknowledged that Betr’s offer could indeed provide more value to the company and its investors.
PointsBet Suggests Mutual Due Diligence
In response to Betr Entertainment’s proposal, PointsBet announced that their board had consulted with external advisors and concluded that Betr’s offer could lead to a “superior proposal” compared to MIXI’s scheme of arrangement.
PointsBet proposed a mutual due diligence process between the two companies. This phased due diligence would primarily focus on assessing the value of synergies and Betr scrip, which would significantly impact the implied value of the transaction for shareholders.
PointsBet assured shareholders that they do not need to take any immediate action. The company’s board promised to keep shareholders informed of any developments regarding the potential acquisition deal.
MIXI Takeover Still in Consideration
While PointsBet is exploring Betr Entertainment’s proposal, the board has not ruled out the possibility of proceeding with the MIXI Scheme. The board remains committed to the MIXI deal until the completion of the due diligence process with Betr.
As of the latest update, PointsBet’s board continues to recommend that shareholders vote in favor of the MIXI Scheme, unless a superior proposal emerges or the Independent Expert deems the MIXI Scheme to be in the best interests of PointsBet shareholders.
